Welcome to AskChat Studio ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of askchat.studio and our citation engineering and AI visibility services. By using our website or services, you agree to these Terms.

1. Services Description

AskChat Studio provides AI visibility optimization services for small businesses, including:

• AI Visibility Audits: Analysis of how your business appears (or doesn't appear) in AI-powered search platforms like ChatGPT, Perplexity, Claude, and Gemini
• Citation Engineering Setup: Strategic creation and optimization of authoritative citations to improve your business's visibility in AI responses
• Original Data Content: Development of unique, authoritative content designed to be cited by AI systems
• Monthly Tracking: Ongoing monitoring of your AI visibility and citation performance

Services are tailored to wellness studios, yoga and pilates studios, beauty businesses, restaurants, and similar local service businesses.

2. Eligibility

To use our services, you must:

• Be at least 18 years old
• Have the authority to bind your business to these Terms
• Operate a legitimate business with accurate information
• Be primarily based in or serving customers in the United States

By using our services, you represent and warrant that you meet these requirements.

3. Pricing and Payment

We offer two kinds of engagement: one-time services, such as an AI Visibility Audit or a Citation Engineering setup, and ongoing monthly work, such as tracking, content updates and citation maintenance.

Prices are not fixed in these Terms, because they depend on the scope of your business and change over time. The price that applies to you is the one quoted to you in writing — on the page or in the offer you accept, or in the invoice we send — before any payment is taken. That quoted price is what governs, and we will not charge you more than it without your agreement in writing.

Payment Terms

• Payment is handled by third-party payment providers and banking systems through secure external payment links or invoices. We do not receive or store your full card details.
• One-time fees are due upfront before work begins
• Monthly subscriptions are billed in advance on the same day each month
• All fees are in US dollars

Refunds and Cancellations

• One-time services: No refunds once an audit has been completed and delivered
• Monthly subscriptions: You may cancel at any time with 30 days' notice. You will not be charged for the following month after cancellation, but the current month is non-refundable
• If you are dissatisfied with our work, please contact us at [email protected] and we will work with you in good faith to address concerns

4. Service Delivery and Timelines

We aim to deliver services within these general timeframes:

• AI Visibility Audit: 5-10 business days after payment and information receipt
• Citation Engineering Setup: 15-30 days depending on scope
• Monthly Tracking Reports: Delivered within the first week of each month

Timelines may vary based on project complexity and your responsiveness. We will communicate any delays promptly.

5. Client Obligations

To help us deliver the best results, you agree to:

• Provide accurate, complete, and truthful information about your business
• Respond to requests for information or approvals within 7 business days
• Review and approve deliverables in a timely manner
• Notify us of any changes to your business information (address, hours, services, etc.)
• Maintain a legitimate, operating business throughout the service period

Delays caused by failure to meet these obligations may extend delivery timelines and are not grounds for refunds.

6. No Guarantees on Third-Party AI Platforms

Important: While we use proven citation engineering and optimization strategies, we cannot guarantee that third-party AI platforms (ChatGPT, Perplexity, Claude, Gemini, etc.) will cite or recommend your business.

These platforms are independent services that:

• Use proprietary, frequently-changing algorithms
• Make their own decisions about what sources to cite
• May update or change their behavior without notice

Our service is to improve your probability of being cited by creating authoritative citations and content. We do not control these third-party platforms and are not responsible for their outputs.

Results may vary. Past performance for other clients does not guarantee future results for your business.

7. Intellectual Property

Your Content and Information

You retain all rights to your business name, branding, proprietary information, and any content you provide to us. By using our services, you grant us a limited license to use this information solely to deliver our services.

Our Methods and Deliverables

We retain all rights to our proprietary methods, processes, tools, and techniques for citation engineering and AI visibility optimization. Audit reports, tracking dashboards, and strategy documents created for you are licensed to you for your business use, but the underlying methodologies remain our intellectual property.

Original Content

Original data content we create for you (articles, research, datasets) becomes your property upon full payment, and you may use it as you wish. We may retain copies for our records and may showcase general results (without confidential details) as case studies.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• Our total liability for any claims arising from our services is limited to the amount you paid us in the three (3) months prior to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities
• We are not responsible for the actions, outputs, or changes made by third-party AI platforms
• We are not liable for results affected by factors outside our control (algorithm changes, your business reputation, competitor actions, etc.)

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

9. Termination

Termination by You

You may cancel monthly subscription services at any time with 30 days' written notice to [email protected]. One-time projects cannot be cancelled once work has been substantially completed.

Termination by Us

We reserve the right to terminate services with 30 days' notice, or immediately if:

• You violate these Terms
• You provide false or misleading information
• You fail to pay invoices within 30 days of the due date
• Your business engages in illegal or unethical practices

Effect of Termination

Upon termination, you will receive any completed deliverables, and we will cease active work. No refunds will be provided for completed work or the current monthly billing period.

10. Governing Law and Dispute Resolution

askchat.studio is operated by an individual practitioner working remotely, and services are delivered online rather than from any physical location in the United States.

Informal Resolution

If a dispute arises, the first step is an email to [email protected]. We commit to working with you in good faith to resolve issues informally, and in practice this is how every question so far has been settled.

If We Cannot Agree

If we cannot resolve a dispute informally within 60 days, either party may pursue whatever remedies are available under the law that applies to them. Nothing in these Terms takes away a right your local consumer law gives you, and nothing here requires you to travel or to arbitrate in a forum you did not choose.

Refunds First

Before any of the above matters, remember that our refund terms cover most of what goes wrong: if the audit does not run or the report does not arrive, you get your money back. See section 6.

No Class Actions

You agree to resolve disputes with us only on an individual basis, and you waive any right to bring or participate in any class action, class arbitration, or representative proceeding.

11. General Terms

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AskChat Studio regarding our services.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after changes take effect constitutes acceptance.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
